End User License Agreement (EULA) 

1. Scope of Services



Equipment: GVC.rs may provide physical IT infrastructure equipment necessary to deliver a specific solution, including but not limited to: servers, network devices, storage systems, and related hardware.
Installation and Configuration: GVC.rs may provide installation and configuration of equipment at the Customer's designated location(s).
Maintenance and Support: GVC.rs may provide ongoing technical support, system monitoring, and repair services, either remotely or on-site, for the provided equipment.
Managed Services: GVC.rs may offer management of the IT infrastructure, which may include but is not limited to system updates, security patching, performance optimization, and incident response.
Cloud-Based Services (if applicable): GVC.rs may offer cloud-based infrastructure or solutions that are accessed through online platforms.

2. Grant of License



GVC.rs grants the Customer a non-exclusive, non-transferable, revocable license to use the Services during the term of the associated service agreement.
The Customer acknowledges that the Services are proprietary to GVC.rs, and the Customer acquires no ownership rights in the underlying software, intellectual property, or infrastructure.

3. Restrictions on Use



The Customer may not reverse engineer, modify, decompile, or disassemble the Services.
The Customer may not use the Services in violation of any applicable laws or regulations.
The Customer may not distribute, sublicense, or transfer the Services to any third party.
The Customer may not use the Services for any illegal, fraudulent, or harmful activities.

4. Customer Responsibilities



Site Preparation: The Customer must ensure that the intended location for equipment installation meets all GVC.rs specifications for power, environmental standards, and access control.
Data: The Customer is solely responsible for the backup and protection of its own data. GVC.rs is not liable for data loss or corruption.
Compliance: The Customer must adhere to all applicable laws, regulations, and industry standards pertaining to the use of the Services.
Cooperation: The Customer must provide reasonable cooperation and access to GVC.rs personnel for installation, maintenance, and support activities.

6. Term and Termination



This EULA is effective from the date of acceptance by the Customer and will remain in force for the duration of the service agreement.
This EULA may be terminated by either party upon written notice if:
The other party breaches a material term of this Agreement and fails to cure such breach within thirty (30) days.
The other party becomes insolvent or initiates bankruptcy proceedings.

7. Warranties and Disclaimers



GVC.rs warrants that the Services will be provided in a professional and workmanlike manner.
EXCEPT AS EXPRESSLY STATED ABOVE, GVC.RS MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability



IN NO EVENT SHALL GVC.RS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, OR INCIDENTAL DAMAGES ARISING FROM THE USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
GVC.RS'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER IN THE TWELVE (12) MONTHS PRIOR TO THE ACCRUAL OF THE CAUSE OF ACTION.

9. Intellectual Property

Customer IP: The Customer retains all ownership rights to its pre-existing intellectual property, including data, content, trademarks, and any other IP brought into the engagement. GVC IP: GVC.rs retains all ownership rights to its intellectual property developed or used in providing the Services. This includes, but is not limited to, configurations, methodologies, software code, documentation, and processes. Limited License: GVC.rs grants the Customer a limited, non-exclusive, non-transferable license to use GVC.rs's IP solely for the purpose of receiving and using the Services as outlined in this Agreement.
